Terms of Service

Please read these terms carefully before using our website or engaging our web design, development, SEO, or VA services.

1. Agreement to these terms

These Terms of Service govern your use of supportlyweb.com and any web design, development, SEO, virtual assistant (VA), maintenance, or related services provided by Supportlyweb.

By accessing our website, submitting an inquiry, or entering into a project agreement with us, you agree to these terms. If you do not agree, please do not use our website or services.

2. Our services

Supportlyweb provides digital agency and VA services including website design, development, SEO setup, content support, integrations, administrative support, research, inbox and calendar management, customer support tasks, social media assistance, data entry, and optional monthly retainers. Specific deliverables, timelines, fees, hours, and revision limits are defined in your proposal, statement of work, or signed contract.

We may update our service offerings, packages, and pricing on our website at any time. Changes do not affect active signed agreements unless otherwise agreed in writing.

3. Client responsibilities

To help us deliver your project successfully, you agree to:

  • Provide accurate project information, brand assets, content, logins, task instructions, and feedback in a timely manner.
  • Review deliverables within agreed review periods.
  • Ensure you have rights to any materials, images, trademarks, or content you supply to us.
  • Grant access only to accounts and systems you authorize us to use, and maintain appropriate internal permissions for VA work.
  • Maintain backups of your own business data where applicable.
  • Use delivered websites, tools, and VA support lawfully and in compliance with applicable regulations.

4. Proposals, payments, and billing

Unless otherwise stated in writing, project fees are quoted in USD. Payment terms, deposits, milestones, and accepted payment methods will be specified in your proposal or invoice.

Late payments may pause work until the account is brought current. You are responsible for any bank fees, currency conversion costs, or third party payment charges unless we agree otherwise.

Retainer, VA, and maintenance services renew according to the billing schedule in your agreement and may be cancelled as specified in that agreement.

5. Revisions and scope changes

Each package includes a defined number of revision rounds or scope boundaries. Requests outside the agreed scope, including additional pages, features, integrations, or rounds of changes, may require a change order and additional fees.

We are not responsible for delays caused by late client feedback, missing assets, third party platform issues, or factors outside our reasonable control.

6. Intellectual property

Upon full payment of all fees due under your project agreement, ownership of the final custom deliverables created specifically for you will transfer to you as stated in your contract, excluding third party materials, licensed assets, frameworks, tools, templates, and pre existing Supportlyweb intellectual property.

Until payment is received in full, all work product remains the property of Supportlyweb. We may display completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing before launch.

You grant us a limited license to use your brand assets solely for the purpose of performing the services.

7. Third party tools and platforms

Many projects rely on third party services such as hosting providers, domain registrars, CMS platforms, ecommerce systems, analytics tools, email services, and payment gateways. You are responsible for creating and maintaining accounts for those services unless explicitly included in your scope.

Supportlyweb is not liable for outages, policy changes, pricing changes, or data loss caused by third party providers.

8. Warranties and disclaimers

We provide services with professional care and skill consistent with industry standards. Except as expressly stated in a signed agreement, our website and services are provided on an as is and as available basis.

We do not guarantee specific business results such as traffic, rankings, revenue, or conversion rates. SEO and marketing outcomes depend on many factors beyond our control.

9. Limitation of liability

To the fullest extent permitted by law, Supportlyweb will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our total liability for any claim arising out of or relating to our services or these terms will not exceed the amount you paid to Supportlyweb for the specific service giving rise to the claim during the twelve months before the claim arose, unless a different limit is stated in your signed agreement.

10. Confidentiality

Each party may receive confidential business information from the other during a project. Both parties agree to use confidential information only for the purpose of performing or receiving the services and to protect it with reasonable care, except where disclosure is required by law.

11. Termination

Either party may terminate a project or retainer relationship according to the termination terms in the applicable agreement. If no specific terms exist, either party may terminate for material breach after providing reasonable notice and an opportunity to cure where practical.

Upon termination, you remain responsible for fees owed for work completed and approved expenses incurred up to the termination date.

12. Website use

You may not misuse our website, attempt unauthorized access to our systems, interfere with site performance, scrape content without permission, or use our site in any way that violates applicable law or harms Supportlyweb or others.

All content on supportlyweb.com, including text, visuals, branding, and layout, is owned by Supportlyweb or its licensors and may not be copied or reused without permission.

13. Governing law

These terms are governed by the laws applicable in the jurisdiction specified in your signed service agreement. If no jurisdiction is specified, the laws of the Republic of the Philippines apply, without regard to conflict of law principles.

Any dispute will first be addressed through good faith negotiation. If unresolved, disputes may be brought in the courts or forums specified in your signed agreement.

14. Changes to these terms

We may update these Terms of Service from time to time. Updated terms will be posted on this page with a revised effective date. Continued use of our website after changes become effective constitutes acceptance of the updated terms.
